                        VARIATION TO LOCK-UP ARRANGEMENTS


888 Holdings plc (the 'Company') announces that HSBC Bank plc ('HSBC') and the
Company have agreed to a variation to the lock-in arrangements put in place upon
the Company's admission to the Official List of the FSA and to trading on the
London Stock Exchange between, amongst others, HSBC and Sinitus Nominees Limited
(the 'Principal Shareholder Trustee') in its capacity as trustee of the E Shaked
Shares Trust, the O Shaked Shares Trust and the Ben-Yitzhak Family Shares Trust
respectively (the 'Principal Shareholder Trusts').

The variation to the lock-up arrangements has been granted in order to permit
the transfer of 235,968 ordinary shares in the Company representing 0.07 per
cent. of the issued share capital of the Company (the 'Shares') by the Principal
Shareholder Trustee to certain employees of the Company to be held under the
terms of the employee share schemes put in place by the Company upon the
Company's admission to the Official List of the FSA and to trading on the London
Stock Exchange. The Shares were transferred by the Principal Shareholder Trustee
pro rata to the number of ordinary shares the Principal Shareholder Trustee
holds on behalf of each of the Principal Shareholder Trusts.

Save for the agreed variation referred to above, the lock-up arrangements to
which the Principal Shareholder Trustee is subject in respect of the Principal
Shareholder Trusts shall continue as described in the prospectus published by
the Company on 15 September 2005 and, accordingly, shall expire on the date of
publication of the interim report and accounts for the Company for the six month
period ending 30 June 2006.

The Shares were transferred by the Principal Shareholder Trustee on 28 November
2005. Following the transfer of shares, the interests in the issued share
capital of the Company held by the Principal Shareholder Trustee on behalf of
the Principal Shareholder Trusts are as follows:
