Transaction in Own Shares

On 5 December 2006 and 7 December 2006 it was announced that 3i Group plc 
(the 'Company') had purchased 200,000 and 800,000 respectively of its own 
ordinary shares of 62 69/88p each ('Shares'), for cancellation. The Company 
now confirms that these Shares were cancelled as follows:

           800,000                         13 December 2006


The Company's issued share capital as at 13 December 2006, following the
cancellation of the above Shares, was 464,278,703 Shares.
