Transaction in Own Shares

3i Group plc

On 30 November 2006 and 1 December 2006 it was announced that 3i Group plc (the
'Company') had purchased 300,000 and 200,000 respectively of its own ordinary
shares of 62 69/88p each ('Shares'), for cancellation. The Company now confirms
that these Shares were cancelled as follows:

                      200,000                           6 December 2006

The Company's issued share capital as at 6 December 2006, following the
cancellation of the above Shares, was 466,328,703 Shares.
