Transaction in Own Shares

On 21 July 2005 and 22 July 2005, it was announced that 3i Group plc had
respectively purchased 550,000 and 650,000 of its own ordinary shares of 53p 
each ('Shares'), for cancellation.  The Company now confirms that these Shares 
were cancelled as follows:

                      650,000                     27 July 2005





The Company's issued share capital as at 27 July 2005, following the
cancellations of the above Shares, was 575,022,296 Shares.
