Transaction in Own Shares

On 14 October 2005 and 17 October 2005 it was announced that 3i Group plc had
respectively purchased 650,000 and 250,000 of its own ordinary shares of 
53 1/8p each ('Shares'), for cancellation.  The Company now confirms that
these Shares were cancelled as follows:

The Company's issued share capital as at 19 October 2005, following the
cancellation of the above Shares, was 555,437,039 Shares.
