Transaction in Own Shares

On 30 August 2005 and 1 September 2005 it was announced that 3i Group plc had
respectively purchased 200,000 and 500,000 of its own ordinary shares of 53 1/8p
each ('Shares'), for cancellation.  The Company now confirms that
these Shares were cancelled as follows:

                      500,000                    6 September 2005



The Company's issued share capital as at 7 September 2005, following the
cancellation of the above Shares, was 560,153,274 Shares.
