On 19 December 2006 it was announced that 3i Group plc had purchased 270,000 of
its own ordinary shares of 62 69/88p each ('Shares'), for cancellation.  The
Company now confirms that these Shares were cancelled as follows:

The Company's issued share capital as at 27 December 2006, following the
cancellation of the above Shares, was 462,443,584 Shares.
