Total voting rights


Following the cancellation of 240,000 of its own ordinary shares of 62 69/88p
each ('Shares') on 12 January 2007 and 200,000 Shares on 15 January 2007, 3i
Group plc (the 'Company') had 462,193,861 issued Shares admitted to trading on a
regulated or prescribed market. Each Share carries the right to one vote in
relation to all circumstances at general meetings of the Company. The Company
does not hold any Shares in treasury.

The total voting rights figure may be used by shareholders (and others with
notification obligations) as the denominator for the calculations by which they
will determine whether they are required to notify their interest in, or a
change to their interest in, the Company under the FSA's Disclosure and
Transparency Rules.
