Total voting rights

Following the allotment of shares under The 3i Group Share Incentive Plan
announced on 29 December 2006, 3i Group plc (the 'Company') had 462,454,905
issued ordinary shares of 62 69/88p each admitted to trading on a regulated or
prescribed market. Each ordinary share carries the right to one vote in relation
to all circumstances at general meetings of the Company. The Company does not
hold any ordinary shares in treasury.

The total voting rights figure may be used by shareholders (and others with
notification obligations) as the denominator for the calculations by which they
will determine whether they are required to notify their interest in, or a
change to their interest in, 3i Group plc under the FSA's Disclosure and
Transparency Rules.
