Listing Rule 9.6.1 R

Pursuant to the 3i Group plc ('the Company') circular issued to shareholders
dated 15 June 2006 ('the Circular'), the Company will today be posting Second
Forms of Election relating to the Company Offer to Certificated Shareholders who
retained B Shares after the Initial Purchase Offer.

Copies of the Second Form of Election have been submitted to the UK Listing
Authority and will shortly be available for inspection at the UK Listing
Authority's Document Viewing Facility, which is situated at:

Defined terms used in this announcement shall bear the meanings given in Part
VIII (Definitions) of the Circular.
