Directors' Notification of Dealing in Shares

THE LISTING RULES - CHAPTER 16, PARAGRAPH 16.13

Following a Share Options exercise, Peter Williams, a Director of 3i Group plc
(the 'Company'), was allotted a total of 51,650 shares ('Shares') of 50p each in
the Company on 29 June 2000 under the terms of The 3i Executive Share Option
Plan and The 3i Group 1994 Executive Share Option Plan.  Of these shares 18,350,
10,000 and 23,300 Shares were allotted at exercise prices of £1.675719, £2.72
and £3.3433 per Share respectively.  Peter Williams notified the Company of the
change in his Share interests on 29 June 2000.
