Directors' Notification of Dealing in Shares

                  The Listing Rules - Chapter 16, Paragraph 16.13

Pursuant to the Rules of The 3i Group Management Equity Investment Plan, on 28
June 2000, each of Brian Larcombe, Richard Summers, Martin Gagen, Peter
Williams, Michael Queen and Rod Perry (the 'Directors') were granted the
conditional right to acquire the number of ordinary shares of 50p each in 3i
Group plc ('Shares') detailed against their name below at nil cost per Share. 
The consideration for each of the grants was nil.
