On 7 January 2004 Mr Oliver Henry James Stocken, a director of 3i Group plc,
became beneficially interested in 50 Shares of 50p each in 3i Group plc. The
shares were purchased on 7 January 2004 through the 3i Dividend Re-Investment
Plan administered by Lloyds TSB Registrars at a price of £6.101248 per share.
The Company was notified of Mr Oliver Henry James Stocken's interest in these
shares on 22 January 2004.

announcement made on 9 January 2004 relating to Mr Stocken.   By way of
explanation: Mr Stocken is interested in two separate holdings of shares, each
