The Listing Rules - Chapter 16, Paragraph 16.13

Pursuant to the rules of The 3i Group 1994 Executive Share Option Plan (the 
'Executive Share Option Plan'), on 9 September 2003, Mr Brian Larcombe, a
Director of 3i Group plc, exercised options over 18,500 shares ('Shares') of 50p
each in 3i Group plc at an exercise price of 334.3p per Share.



Pursuant to the rules of the Executive Share Option Plan, on 10 September 2003,
Mr Martin Gagen, a Director of 3i Group plc, exercised options over 91,013
Shares at an exercise price of 520p per Share and sold 91,013 Shares at a price
of 652.78p per Share.



Mr Brian Larcombe and Mr Martin Gagen both notified 3i Group plc of their
interest in these Shares on 10 September 2003.
