Pursuant to the rules of The 3i Executive Share Option Plan, on 10 June 2003,
Martin Gagen, a Director of 3i Group plc, exercised options over 24,467 shares
('Shares') of 50p each in 3i Group plc at an exercise price of £1.675719 per
Share and sold 24,467 Shares at a price of £6.07 per Share.

Martin Gagen notified 3i Group plc of his interest in these Shares on 
11 June 2003.
