Pursuant to the Rules of The 3i Group Discretionary Share Plan, on 27 June 2002,
the executive Directors (the 'Directors') of 3i Group plc listed below, were
granted the right (the 'Option') to subscribe for the number of shares
('Shares') of 50p each in 3i Group plc detailed against their name, at a price
of 672.75p per Share. Subject to the fulfilment of a performance condition, the
Options are exercisable from and including 27 June 2005 and will lapse on 26
June 2012. The consideration for the grant of the Options was nil.
