Director Shareholding

The Listing Rules - Chapter 16, Paragraph 16.13

Following an exercise of Share options, Rod Perry, a Director of 3i Group plc
(the 'Company'), was allotted a total of 18,350 shares ('Shares') of 50p each in
the Company on 27 June 2001 under the terms of The 3i Executive Share Option
Plan.  These Shares were allotted at an exercise price of £1.675719 per Share.

Also on 27 June 2001, Rod Perry sold 18,350 Shares at a price of £10.6432 per
Share.

Rod Perry notified the Company of the change in his Share interests today, 28
June 2001.
