As potential beneficiaries of The 3i Group Employee Trust (the 'Trust') all
employees of 3i Group plc (the 'Company') and its subsidiaries have an interest
in all the ordinary shares of 62 69/88p each in the Company ('Shares') held by
the Trust. These employees include P E Yea, S P Ball and M J Queen, who are
Directors of the Company.

On 11 August 2006, the Company was notified that on 10 August 2006 participants
exercised options under The 3i Group Discretionary Share Plan to acquire from
the Trust 259,553 Shares at 568.0p per Share.  The place of this transaction was
the London Stock Exchange.

Pursuant to the rules of The 3i Group Discretionary Share Plan, on 10 August
2006 A W W Brierley, a person discharging managerial responsibilities ('PDMR')
of the Company: (i) exercised options to acquire the number of Shares detailed
below at the price per Share detailed below and (ii) sold the number of Shares
detailed below at the price per Share detailed below:
