On 27 July 2005 , Mr Oliver Henry James Stocken, a Director of 3i Group plc,
became beneficially interested in 3,250 Ordinary Shares of 53 1/8 p each in the
Company. The shares were purchased on the London Stock Exchange on 27 July 2005
at a price of 702.5p each and were registered in the name of Greenwood Nominees
