On 27 July 2006 the Directors and persons discharging managerial
responsibilities ('PDMRs') in respect of 3i Group plc (the 'Company') listed
below acquired interests in the ordinary shares of 62 69/88p each in the Company
('Shares') as detailed below at a price of 909.0 pence per Share.  These
interests were acquired through the reinvestment of the Company's final dividend
paid on 21 July 2006 on Shares which were the subject of share awards held under
the rules of The 3i Group Deferred Share Bonus Plan and The 3i Group
Discretionary Share Plan.
