In accordance with the 3i Group plc (the 'Company') circular to shareholders
dated 14 June 2007 (the 'Circular'), on 23 July 2007 the Brokers' Offer was
completed and those shareholders who had validly elected, either by Form of
Election or by default, to participate in the Brokers' Offer had their relevant
B Shares purchased from them at a price of 127p per share.  As a result, on 23
July 2007 the following individuals, being Directors and persons discharging
managerial responsibilities ('PDMRs') of 3i Group plc (the 'Company'), sold the
number of B shares in the Company awarded under The 3i Group Deferred Share
Bonus Plan detailed against their name below.
