On 21 January 2011 3i Group plc (the "Company") was notified that on 13 January 2011 Sir Adrian Montague, the Chairman of the Board (and a Director and person discharging managerial responsibilities), acquired 78 ordinary shares of 7319/22p each in the Company ("Shares") at a price of 332.06p per Share.  These Shares were acquired under a dividend reinvestment plan following payment of the Company's interim dividend.

The place of this transaction was the London Stock Exchange.
