3i Group plc announces that on 5 September 2005 it was informed by Mme Christine
Morin-Postel, a non-executive Director, that on the consolidation of her holding
of 2,000 Ordinary Shares of 50p each into Ordinary Shares of 53 1/8p each which
took effect on 11 July 2005 the nominee holder of her holding consolidated it
into a holding of 1872 Ordinary Shares. A balancing number of 11 Ordinary Shares
of 50p each were settled in cash by the payment by the nominee of Euros 101.88.



This notification revises the notification of Mme Morin-Postel's new holding
which was included in RNS notification 1658Q on 16 August 2005.
