On 31 August 2006, 3i Group plc (the 'Company') was notified that on 30 August
2006 A J M Taylor, a person discharging managerial responsibilities (PDMR) of
the Company, transferred, for nil consideration, 23,500 B Shares in the Company
to his wife, K A Murray.  This was an off market transaction.

This announcement, which relates to a transaction notified to the Company in
accordance with Disclosure Rule 3.1.2R, is being made by the Company pursuant to
Disclosure Rule 3.1.4R
