3i Group PLC 14 July 2006 3i Group Share Capital Consolidation and Introduction of B Shares to the Official List and admission to trading on the London Stock Exchange 3i Group plc (the 'Company') announces that it has applied to the UK Listing Authority and to the London Stock Exchange for admission to listing and to trading of 466,366,373 new ordinary shares of 62 69/88 pence each resulting from the consolidation of all the existing 551,160,259 ordinary shares of 53 1/8 pence each currently in issue and an Introduction of 551,160,259 B Shares. The new ordinary shares of 62 69/88 pence each and B Shares are expected to be admitted to the Official List and to trading on the London Stock Exchange on 17 July 2006. Immediately following the consolidation of the existing ordinary shares of 53 1/8 pence each and the Introduction of B Shares, the Company's issued and fully paid share capital will be 466,366,373 ordinary shares of 62 69/88 pence each and 551,160,259 B Shares.. In addition, the Company announces that it has further applied to the UK Listing Authority and to the London Stock Exchange for admission to listing and to trading of 2,853,100 new ordinary shares of 62 69/88 pence each. These represent the existing block listed and unissued shares which may fall to be issued under the Company's share schemes, following the expected consolidation of the Company's share capital from ordinary shares of 53 1/8 pence each into ordinary shares of 62 69/88 pence each.
