                      SCHEME OF ARRANGEMENT - EGM RESULTS                      

Following the announcement made on 21 February 2007 regarding the Company's
plans to relocate the XP Power group's head quarters to Asia, XP Power
announces that at the Court Meeting and EGM held on 23 March 2007 all
resolutions were duly passed.
