John Wood Group PLC ("Company") The Company has been informed that on 29 August 2007, the Trustees of the John Wood Group PLC Employee Share Trust ("EST"): * sold 21,811 ordinary shares in the capital of the Company at £3.5275 per share, being 0.0041% of the share capital of the Company pursuant to exercises of share options under the John Wood Group PLC 2003 Long Term Retention Plan; on 30 August 2007: * sold 25,594 ordinary shares in the capital of the Company at £3.6525 per share, being 0.0048% of the share capital of the Company pursuant to exercises of share options under the John Wood Group PLC 2003 Long Term Retention Plan; * transferred 12,835 ordinary shares in the capital of the Company at a consideration of 3.333 pence per share, being 0.0024% of the share capital of the Company, to employees of the Company, and its subsidiaries, exercising share options under the John Wood Group PLC 2003 Long Term Retention Plan; on 31 August 2007: * sold 22,601 ordinary shares in the capital of the Company at £3.640668 per share, being 0.0043% of the share capital of the Company pursuant to exercises of share options under the John Wood Group PLC 2003 Long Term Retention Plan; * transferred 10,288 ordinary shares in the capital of the Company at a consideration of 3.333 pence per share, being 0.0019% of the share capital of the Company, to employees of the Company, and its subsidiaries, exercising share options under the John Wood Group PLC 2003 Long Term Retention Plan; * sold 6,881 ordinary shares in the capital of the Company at £3.640668 per share, being 0.001% of the share capital of the Company pursuant to exercises of share options under the John Wood Group PLC 2000 Approved and Unapproved Executive Share Option Scheme; * transferred 23,119 ordinary shares in the capital of the Company at a consideration of 83.333 pence per share, being 0.0044% of the share capital of the Company, to employees of the Company, and its subsidiaries, exercising share options under the John Wood Group PLC 2000 Approved and Unapproved Executive Share Option Scheme; Following these transaction, the EST holds a total of 15,607,604 ordinary shares representing 2.9814% of the share capital of the Company. The class of discretionary beneficiaries for whom the EST holds such shares consists of employees of the Company, including the following executive directors of the Company: Allister G Langlands, Leslie J Thomas and Mark H Papworth. Each of such directors is accordingly deemed to be beneficially interested in the shares held by the EST. The transactions noted above do not involve any of the Company's directors or any persons discharging managerial responsibility.
