NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS

DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

In accordance with DTR 3.1.2R the Company was informed that the following
transaction was made between (i) the trustees of the 1997 Sir Ian C Wood
Children's Settlement Trust (the "1997 Trust"), being Sir Ian C Wood (Chairman
of the Company), Mr. David Ian Johnston and Mr. Graham Good; and (ii) the
trustees of the Wood 2010 Trust (the "2010 Trust"), being Sir Ian C Wood and
Mr. Graham Good:

On 16 June 2010, the Trustees of the 1997 Trust made an off-market transfer, at
nil consideration, of 15,500,000 ordinary shares in the Company being 2.923% of
the share capital of the Company to the 2010 Trust. As a trustee of the 2010
Trust, Sir Ian C Wood will continue to have a non-beneficial interest in all
the shares transferred.

By virtue of being trustees of the 1997 Trust, Mr. David Ian Johnston and Mr.
Graham Good are connected persons of Sir Ian C Wood for the purposes of DTR
3.1.2R. Mr. Graham Good is also a connected person of Sir Ian C Wood by virtue
of being a trustee of the 2010 Trust.

Following this transaction there is no change to Sir Ian's interests in the
shares of the Company, his interests remaining as:

  * Beneficial interest: 27,861,163 ordinary shares, representing 5.254% of the
    issued share capital of the Company; and
   
  * Non-beneficial interest: 63,235,078 shares, representing 11.925% of the
    issued share capital of the Company.
   
The Company's issued capital consists of 530,266,720 ordinary shares with
voting rights. The Company holds no shares in Treasury.
