Director/PDMR Shareholding

Wincanton plc

On Monday, 30th June 2008, the Company provided provisional award details in
relation to the Wincanton plc Share Match Incentive Scheme 2003 ("SMIS").

In fulfilment of an obligation imposed by DTR 3.1, the Company hereby announces
certain share transactions carried out in relation to the lodging of shares
under the SMIS.

Share Purchases - SMIS Investment

The Company was informed on Monday, 7th July 2008 that the following purchases
of Ordinary 10p shares were completed on the London Stock Exchange on that day.
The purchase price was £2.935927 per share. Following settlement, the shares
will be transferred to IFG Trust (Jersey) Limited, in its capacity as Nominee;
the registered holder is Greenwood Nominees Limited.

2005 SMIS Option Exercises - SMIS Investment

The Company was informed on Monday, 7th July 2008 that the following exercises
of options, granted under the terms of the SMIS, have taken place. Where the
shares are invested in the 2008 SMIS, the shares are held by IFG Trust (Jersey)
Limited, in its capacity as Nominee; the registered holder is Greenwood
Nominees Limited. Gerard Connell has opted to hold the 12,366 shares in his own
name.

SMIS Grant Details

Provisional SMIS grant figures were set out in an announcement released on
Monday, 30th June 2008. Participants have until 27 July 2008 in which to lodge
those shares. The provisional figures will be updated at that stage when the
investments are completed.
