Notification of Interests of Directors and Connected Persons

Spectris plc ('the Company') was today informed that the following Directors of
the Company and connected persons have undertaken the following transactions:

1) James Charles Webster - On Monday 21st October 2002, Mrs Pauline Webster,
spouse of James Charles Webster, purchased 5,000 ordinary shares of 5p in the
Company at 243.95 pence per share (0.004% of issued class). Mr Webster's total
beneficial holding following this notification has increased to 55,669 (0.045%
of issued class) and 306,484 shares remain under option.

2) Hans Daniel Nilsson - On Wednesday 23rd October 2002, Mrs Ruth
Nilsson-Ladner, spouse of Hans Daniel Nilsson, purchased 10,000 ordinary shares
of 5p in the Company at 240.00 pence per share (0.008% of issued class). Mr
Nilsson's total beneficial holding following this notification has increased to
38,244 ordinary shares of 5p (0.031% of issued class) and 357,967 shares remain
under option.

3) Paul Victor Boughton - On Thursday 24th October 2002, Mrs Pauline Boughton,
spouse of Paul Victor Boughton, purchased 20,000 ordinary shares of 5p in the
Company at 225.00 pence per share (0.016% of issued class). Mr Boughton's total
beneficial holding following this transaction has increased to 66,173 ordinary
shares of 5p (0.054% of issued class) and 293,869 shares remain under option.
