Grant of Options

                           DIRECTORS' SHAREHOLDINGS                            

Sopheon plc ("Sopheon") announces that it has granted options over Sopheon
Ordinary Shares to certain directors as part of a grant of options to all
management and staff. The options have been granted at a price of 22.00p per
share, being the closing price on 2 May 2006. As part of this overall grant,
Barry Mence, Andrew Michuda and Arif Karimjee, being respectively Sopheon's
Chairman, CEO and CFO, have each been granted options over 100,000 ordinary
shares. Vesting of half of the options granted are subject to performance
conditions based on the achievement of certain financial objectives in 2006.
