                      ROLLS-ROYCE GROUP PLC BOARD CHANGE                       

Rolls-Royce Group plc today announced that Sir Robin Nicholson will be retiring
from the Board as a non-executive director at the conclusion of the Company's
AGM on 4 May 2005.

Simon Robertson, Rolls-Royce Chairman, commented "Robin has served on our Board
for nearly twenty years, a key period in the transformation of the Company into
a successful, international business. We are greatly indebted to him for the
significant and lasting contribution he has made to the Board and we wish him
well for the future".
