Changes to the Rolls-Royce Board

Two Rolls-Royce non-executive directors, Carl-Peter Forster and Amy Bondurant,
will be retiring from the Board on 14 September 2006 following the completion
of their terms.

Simon Robertson, Chairman, Rolls-Royce said " We are very sorry that Amy
Bondurant and Carl-Peter Forster have concluded that they are no longer able to
devote sufficient time to our Board. We are very sad to see them go and would
like to thank them both for the very considerable contribution they have made
in different ways to the Rolls-Royce Board and the success of the Group. We
will be making further appointments to the Board in due course"
