Rolls-Royce Group plc announces that on 28th February 2005 the Rolls-Royce
Employee Share Trust acquired 3,258,773 shares at an average price of 260.19
pence per share for the purpose of satisfying, in due course, awards granted
under the Rolls-Royce Deferred Share Plan.
