Rolls-Royce plc announces that on 28 March 2003 the Rolls-Royce Employee Share
Trust entered into an agreement to acquire 11,050,000 shares at an average
price of 76.46 pence per share for the purpose of satisfying, in due course,
awards granted under the Rolls-Royce Deferred Share Plan and the Rolls-Royce
Deferred Share Incentive Plan.
