Rolls-Royce Group plc (the Company) announces that on 27th February 2007 the
Rolls-Royce 2003 Employee Share Trust acquired 1,786,213 shares in the Company
at 501.62 pence per share for the purpose of satisfying, in due course, awards
granted under the Rolls-Royce Annual Performance Related Award Deferred Share
plan.
