Rolls-Royce Group plc announced today that on 20 October 2005 options to

purchase Rolls-Royce shares were granted (following approximately 21 per cent
scaling down exercise) to Executive Directors and persons discharging
managerial responsibility (PDMR's) under the rules of the Rolls-Royce
International ShareSave Plan at an option price of £2.976 per share as follows:
