Rolls-Royce Group plc (the Company) announces that on 9th February 2006 the
Rolls-Royce 2003 Employee Share Trust acquired 10,000,000 shares in the Company
at an average price of 434.20 pence per share for the purpose of satisfying, in
due course, awards granted under the Rolls-Royce Annual Performance Related
Award plan and Performance Share Plan.
