PROFESSOR PETER GREGSON

Following the announcement by Rolls-Royce Group plc of the appointment of
Professor Peter Gregson to the Board with effect from 1 March 2007. Professor
Gregson has confirmed that he has no information to disclose in respect of the
Listing Rules Paragraphs 9.6.13 (1) - (6) and Disclosure Rule 3.1.2.

MR JOHN RISHTON

Following the announcement by the Company of the appointment of Mr John Rishton
to the Board with effect from 1 March 2007, Mr Rishton has disclosed that he
holds or has held directorships in the following publicly quoted companies in
the past five years:-

Royal Ahold NV (Netherlands) (current)

British Airways PLC - resigned 31 December 2005

Allied Domecq PLC - resigned 26 July 2005

Mr Rishton has confirmed that he has no information to disclose in respect of
the Listing Rules Paragraphs 9.6.13R (2) to (6) or Disclosure Rule 3.1.2 .
