Allotment of Income Shares

Following the passing of the Special Resolutions at the Class meetings and General Meeting (‘Meetings’) of Rights and Issues Investment Trust plc (the ‘Company’), it is announced that the Directors of the Company have allotted subject to Admission a total of 4,920,000 new Income Shares by way of bonus issue on the terms set out in the circular to shareholders dated 27 April 2016 (“Circular).  The new Income Shares were allotted fully paid up and will rank pari passu with the existing Income Shares.

In addition to the issue of new Income Shares, subject to their Admission the existing Capital Shares have been converted into Income Shares under the proposals approved by the Meetings.  The Income Shares arising from conversion are also fully paid up and rank pari passu with the other existing Income Shares.

Applications have been for the allotted new Income Shares and the conversion of the Capital Shares to be admitted to the premium segment of the Official List of the UK Listing Authority, and for admission to trading on the main market of the London Stock Exchange. Dealings in the new Income Shares are expected to commence on 6 June 2016.

In conformity with the Transparency Directive the Company would note that as a result of the allotment and conversions the issued share capital of the Company is now 9,020,000 Income Shares and nil Capital Shares. The Company does not hold any shares in treasury. Therefore, the allotment and conversions, the total number of voting rights in the Company will be 9,020,000.

The above figure 9,020,000 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA’s Disclosure and Transparency Rules.

Capitalised terms used in this announcement shall, unless the context otherwise requires, bear the meaning given to them in the Circular.
