Pendragon advises that, pursuant to the FSA's Disclosure and Transparency
Rules, it was notified on 19 February 2008 that following a transaction on 18
February 2008 AXA S.A has decreased its notifiable interest in the voting
rights over 64,961,042 ordinary shares of 5p, representing 9.90% of the voting
rights in the issued ordinary share capital of Pendragon.
