On 13 November 2002 Unicorn Asset Management Limited confirmed that, following
recent transactions, its total notifiable interest in the ordinary shares of
Pendragon has decreased to 1,958,553 shares, representing 3.49% of the total
issued share capital of Pendragon.

On 13 November 2002 The Prudential Assurance Company Limited confirmed that,
following recent transactions, its total holding of ordinary shares in
Pendragon no longer constitutes a notifiable interest in the share capital of
Pendragon.
