                             Result of Open Offer                              

Parity Group plc ("Parity" or the "Company"), announces the result of the
Placing and Open Offer of 16,038,427 New Ordinary Shares to Qualify
Shareholders on the basis of 1 Open Offer Share for every 18 existing Ordinary
Shares held on the Record Date.

The Open Offer closed at 11.00 a.m. on 24 April 2006. Valid applications have
been received under the Open Offer in respect of 9,966,670 Open Offer Shares,
representing approximately 62.14 per cent. of the Open Offer Shares made
available. The remaining 6,071,757 Open Offer Shares will now be subscribed for
by institutional and other investors.

The Placing and Open Offer forms part of the Issue, together with the Firm
Placing of 16,000,000 New Ordinary Shares placed with institutional and other
investors. A total of 32,038,427 New Ordinary Shares are being issued pursuant
to the Issue.

The Issue remains conditional on Admission of the New Ordinary Shares and it is
expected that Admission and dealings in the New Ordinary Shares will commence
at 8.00 a.m. on 28 April 2006.

otherwise.
