Annual General Meeting

Matrix Income & Growth 2 VCT plc is pleased to announce that all the
resolutions proposed at the Annual General Meeting of the Company held today,
10 September 2009 were, approved by shareholders.

A quorum was not present at either of the separate class meetings of Ordinary
Shareholders and C Shareholders held today and these were adjourned until 12.10
pm and 12.12 pm, respectively, on Tuesday, 15 September 2009, at Matrix Group
Limited at One Vine Street, London W1J 0AH.
