Annual General Meeting - adjourned class meetings

Matrix Income & Growth 2 VCT plc is pleased to announce that all the
resolutions proposed at the separate class meetings of the holders of ordinary
shares and the holders of C ordinary shares held today, 28 September 2007, were
approved by shareholders.
