De-merger of Kingdom Financial Holdings Ltd

                            NOTICE TO SHAREHOLDERS                             

Shareholders are advised that the required conditions precedent necessary for
the de-merger of Kingdom Financial Holdings Limited ("KFHL") from the Company
were fulfilled by 13 February 2011 (the final date for fulfilment) and now that
these conditions precedent have been fulfilled the de-merger is being
implemented.

Accordingly, shareholders will receive their KFHL share certificates in due
course.
