In-Solve Plc would like to announce that today Jonathan Bradley-Hoare,
Non-Executive Director of the Company, has been issued with 181,818 new
ordinary shares in the Company, at a price of 5.5p each. These shares have been
issued in lieu of directors fees for 2011 as agreed under Jonathan's service
contract dated 17 January 2011.

Following this allotment, the issued share capital of the Company is 9,697,176.

The directors of the issuer accept responsibility of this announcement.
