Disclosure and Transparency Rules, the total number of shares in The Income &
Growth VCT plc in issue as at the date of this notice is as follows:

The Company does not hold any shares in treasury.

Therefore, the total number of voting rights in The Income & Growth VCT plc is

calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, The Income & Growth VCT plc
under the FSA's Disclosure and Transparency Rules.
