                   Notification of Substantial Shareholding                    

The Company was informed by a letter dated 13 November 2002 that D G & M B Conn
and Associates purchased a total of 15,000 ordinary shares of 25 pence each in
Highcroft on 12 November 2002 in the registered names and amounts as follows:

Common & Garden Properties Limited - 10,000

M.B. Conn, H.R. Conn and D.G.Conn a/c EHC - 5,000

Following these purchases, D G & M B Conn and Associates now have an interest
in 573,206 ordinary shares of 25p each in Highcroft, representing 11.1 per
cent. of the issued share capital of the Company.
