 Notification of transactions of directors and persons discharging managerial  
                          responsibilities ("PDMRs")                           

In accordance with DTR 3.1.4R, FirstGroup plc (the "Company") announces that it
was today notified (in accordance with DTR 3.1.2R) that the following
acquisitions of the Company's ordinary shares of 5 pence each by PDMRs and
directors of the Company and/or their connected persons took place in London
today. Each of these transactions took place pursuant to the 3 for 2 rights
issue at 85 pence per new ordinary share announced by the Company on 20 May
2013.

The Company also announces in accordance with DTR 3.1.4R that it was notified
(in accordance with DTR 3.1.2R) that purchases took place in London on 25 June
2013 of the Company's ordinary shares of 5 pence by each Non-Executive Director
of the Company who has elected to receive 40% of his fee in the form of shares
in the Company (other than David Begg and Colin Hood who receive all of their
fees in the form of shares in the Company). Tim O'Toole, Chief Executive, has
elected to receive part of his remuneration each month in the form of shares in
the Company. Arrangements have been made for these shares to be purchased on
their behalf in the market on a regular basis. The shares were purchased at a
price of 98.75 pence per share.
